1. The agreement
These Terms of Service (“Terms”) form a binding agreement between you and Intellifran, Inc. (“Intellifran,” “we,” “us,” or “our”) governing your access to and use of intellifran.com and related services (collectively, the “Services”).
By creating an account or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
Your use of the Services is also governed by our Privacy Policy, our Terms of Use, and our Franchise Disclaimer, each incorporated into these Terms by reference.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate registration information and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@intellifran.com if you suspect unauthorized use.
3. Description of services
Intellifran provides tools to help you research franchise brands, take a franchise-fit assessment, compare investment ranges, and — where you opt in — be introduced to franchisors or independent franchise coaches. Intellifran is not a franchisor, broker-dealer, financial advisor, or law firm, and does not sell franchises directly.
We may add, change, or remove features of the Services at any time, and may suspend or discontinue the Services in whole or in part.
4. Acceptable use
When using the Services, you agree not to:
- Provide false or misleading information in your profile, assessment responses, or reviews
- Use the Services for any unlawful purpose or in violation of any applicable regulation
- Scrape, harvest, or use automated means to access the Services without our written permission
- Interfere with or disrupt the integrity or performance of the Services
- Impersonate any person or misrepresent your affiliation with a person or entity
- Upload content that is defamatory, infringing, or otherwise unlawful
We may investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts.
5. Intellectual property
The Services, including all text, graphics, logos, and software, are owned by Intellifran or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
Any feedback, reviews, or content you submit through the Services grants Intellifran a worldwide, royalty-free, sublicensable license to use, reproduce, and display that content in connection with operating and promoting the Services.
6. Third-party brands and links
The Services may display information about, or link to, third-party franchisors, coaches, or websites that Intellifran does not control. We are not responsible for the accuracy of third-party content or for the products, services, or practices of any franchisor or partner. Any transaction you enter into with a franchisor is solely between you and that franchisor.

Nothing on the Services constitutes financial, legal, tax, or investment advice, or an offer to sell a franchise. See our Franchise Disclaimer for details.
8. Limitation of liability
To the fullest extent permitted by law, Intellifran and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services will not exceed the greater of $100 or the amount you paid Intellifran in the twelve months before the claim arose.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless Intellifran from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services if you violate these Terms or if we reasonably believe your use poses a risk to Intellifran or other users. Sections of these Terms that by their nature should survive termination will survive.
11. Governing law and disputes
These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in [County, State], and you consent to the personal jurisdiction of those courts.
12. General terms
- Changes to these Terms — we may update these Terms from time to time; continued use of the Services after changes take effect constitutes acceptance.
- Severability — if any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment — you may not assign these Terms without our consent; we may assign these Terms freely.
- Entire agreement — these Terms, together with the documents they incorporate, are the entire agreement between you and Intellifran regarding the Services.
